The Basics
So what things do you need to know about the Center Stage in the Rose Parade® Music Video Contest? Before we get to all the fine print, here are the 10 basic things you need to know:
1. You don’t have to purchase anything to enter or win.
2. You must be a resident of the US and be 18 years or older to enter.
3. Sorry, Wells Fargo team members, their immediate families, or members of their households aren’t eligible to win the Grand Prize. But you can enter to win a Viewers' Choice Award.
4. Everyone who enters must register with Memelabs
5. Submit your video and vote for your favorite at: www.wellsfargo.com/CenterStage.
6. Your video can’t exceed 3 minutes in length.
7. You can enter up to five (5) music video submissions, but they have to be pretty different from each other. Be creative!
8. You have to promise NOT to upload your music videos anywhere else except for at: www.wellsfargo.com/CenterStage.
9. Important dates:
· September 28 - November 26, 2007: Music video entries will be accepted
· September 28 - December 22, 2007: Voting period
· January 1, 2008: Contest winners will be announced

How To Enter (see “Entry Requirements” section below for further details)

  2. Follow the links to the video contest
  3. Register with Memelabs in order to be eligible to enter the Contest and/or to vote in the Contest
  4. Download the music and lyrics
  5. Create your music video
  6. Submit your music video and complete the information requested on the Contest Website (collectively the “Submission”)
  7. Any Wells Fargo Team Members (which shall include any employees, contingent staff persons, officers and directors of Wells Fargo & Company and all subsidiaries and affiliates of Wells Fargo & Company ("Wells Fargo")), members of Team Members’ immediate families, or members of their households, are eligible only for the Team Members category (see the “Eligibility” paragraph in Section 1 of the Official Rules below, as well as Section 9 below for certain terms applicable to Team Members).

OFFICIAL RULES

NO PURCHASE NECESSARY TO ENTER OR WIN.

1.  CONTEST OVERVIEW, ELIGIBILITY AND TERM. Welcome to the Center Stage in the Rose Parade Music Video Contest(the “Contest”), sponsored by Wells Fargo Bank, N.A. (“Sponsor”).  Contest participants may submit their own rendition of “The Wells Fargo Wagon” music video as described herein, and may vote on Submissions on the Contest Website. The person completing the registration form and uploading the Submission will be deemed the entrant (“Entrant”).

The rules, terms and conditions specified herein for the Contest comprise the Contest’s Official Rules (hereinafter, the “Rules”), and together with any Terms of Use applicable to the Contest Website shall govern all participation in the Contest and use of such Contest Website. Please take a moment to review these Rules and any Terms of Use which, by your participation, you agree will govern all matters relating to the Contest and which cannot be modified or superseded except by Sponsor, in its reasonable discretion, in a written revision to these Rules available on the Contest Website.


ELIGIBILITY:  The Contest is open only to individual legal residents of the 50 United States and the District of Columbia (the “Territory”) who have internet access, are 18 years of age or older, and reside in the Territory at the time of entry.   The Contest will have two categories in which Entrants may participate:  the General Category and the Team Member Category.  Only the general public may participate in the General Category and only Team Members, members of a Team Member’s immediate family (defined as parent, children, siblings, and spouses of a Team Member), or members of a Team Member’s household, may participate in the Team Member Category.  Void where prohibited or restricted by law.  Employees, contingent staff persons, officers and directors, together with members of their immediate families (parents, children, siblings and spouses of each) and/or those living in the same households, of Invoke Media, Memelabs, and their respective parents, subsidiaries and affiliates are ineligible to participate in the Contest or win any Contest prize.

Team Member entry requirements:  If you are a Team Member or a member of a Team Member’s immediate family or household, you must check the “Wells Fargo Team Member” box on the entry form.  Team Members must use their Wells Fargo work e-mail address during the Contest registration process in order to be eligible for the Team Member Category of the Contest.  Any Team Members, or members of their immediate families or households, who enter the Contest but fail to check the “Wells Fargo Team Member” box on the entry form will be disqualified from the Contest.  In addition, all Team Members who wish to enter the Contest will be subject to the Additional Team Member Conditions listed at the end of these Rules. 

TERM: Contest begins at 12:01 AM (PT), September 28, 2007.   All video entries must be submitted by 11:59 PM (PT) November 26, 2007 (the “Entry Period”).   Voting on videos by registered members will end 11:59 PM (PT) December 22, 2007  (the “Voting Period”). Winners will be announced on the Contest Website on January 1, 2008.

CHILDREN AND MINORS: Consistent with the Federal Children's Online Privacy Protection Act of 1998 (COPPA), we will never knowingly request personally identifiable information from anyone under the age of 13 without requesting parental consent. Additional information can be found on the U.S. Federal Trade Commission website. Any entrant who is a minor in his/her jurisdiction of legal residence will be required to obtain the permission of his/her parent or legal guardian to participate in this Contest. Entrant must also have obtained all necessary permissions from anyone else featured in his/her Submission, including permission from parents or legal guardians of minors included in such Submission (written proof of such permission must be made available to Sponsor upon request). 

2. ENTRY REQUIREMENTS
A. TO ENTER: Entrants will create an original music video of the song "The Wells Fargo Wagon" (the "Song"). To enter: (i) go to www.wellsfargo.com/CenterStage; (ii) follow the hyperlinks to register with Memelabs (please note that registration with Memelabs means that you are opting in to join Memelabs, and that you may be contacted in the future per the Memelabs privacy policy); (iii) download lyrics and a version(s) of "The Wells Fargo Wagon" (Entrants may select a recording of complete music and vocals or an instrumental recording in one of five musical genres); (iv) create a video (Entrants must lip-synch to the song or complete their own version of the recording by using the exact lyrics of the song and editing it together with instrumentals and accompanying video footage); and finally (v) upload the completed video to www.wellsfargo.com/CenterStage during the Entry Period. Entries will be screened by Memelabs and/or Sponsor upon submission. Video Submissions not conforming to these Rules, including without limitation all musical video content requirements, and Submission technical requirements described below, may be rejected. Sponsor retains the right to accept or reject any entry for any reason. Submissions become the property of Sponsor and will not be acknowledged or returned.

The entire video cannot exceed three minutes.  Each Entrant may not submit more than five videos.  Each video will be deemed a separate submission, and only one video may be uploaded at a time.  Each video submitted must be significantly different than the other videos submitted by the same Entrant.  Entries may not be posted, uploaded, distributed, or otherwise made available on any website or other location or means of delivery, other than www.wellsfargo.com/CenterStage, by you or any third party -. No responsibility is assumed for lost, late, misdirected or otherwise damaged entries. The date and time of entry receipt shall be determined by the official clock of the Contest Website.  

B.  FURTHER MUSICAL VIDEO CONTENT REQUIREMENTS

The musical and video content must comply with the following requirements:

C.         PRIZE JUDGING:
After close of the Entry Period, a panel of judges will review all eligible Submissions.   The panel will be comprised of Wells Fargo employees and representatives from the Tournament of Roses, as determined by Sponsor in its sole discretion.  Submissions will be evaluated on the following criteria (the “Judging Criteria”):

In the event of a tie, the tied entrants will be reevaluated against each other by the judging panel based on the criteria above until the tie is broken. 

3.         VOTING, WINNING, PRIZES.

A.         TO VOTE.  Each eligible participant may register and vote by registering and submitting a user name, password and valid email address during the Voting Period at the following web address:   www.wellsfargo.com/CenterStage. USERS MAY NOT VOTE FOR THE SAME VIDEO MORE THAN ONE TIME.

B.         TO WINGrand Prize;  One video entry in the General Category will be selected by the panel judges as the Grand Prize Winner based on Judging Criteria set forth above.  The Grand Prize Winner’s video Submission (as edited by Sponsor or its designees) may appear in a nationally televised Wells Fargo commercial in the discretion of Sponsor.  Viewers’ Choice Awards:  There will be two winners (one in the General Category and one in the Team Member Category) selected by registered viewers of the videos on the Contest Website.  The video entry that obtains the most votes from individuals voting on the Contest Website in each of the General Category and the Team Member Category during the Voting Period will win the first place General Category prize or first place Team Member Category prize, as described below.  Runners Up Awards: Ten (10) runners-up who receive the next ten (10) highest number of votes in the General Category from individuals voting on the Contest Website during the Voting Period will each win the Runners-Up prize as described below. 

C.         PRIZES.  Grand Prize:  Portions of the Grand Prize Winner’s video may be shown in a nationally televised thirty-second commercial appearing during the Tournament of Roses Parade on January 1, 2008.  Approximate Retail Value (ARV) of Grand Prize:  $0 (recognition only, no cash value).  Viewers’ Choice Awards: First place – General Category:  One (1)  8 Gigabyte Apple iPhone™. Approximate Retail Value (ARV) of first place General Category prize:  $399.  First place – Team Members Category:  One (1)  8 Gigabyte Apple iPhone™. Approximate Retail Value (ARV) of first place Team Members prize:  $399.  Runners-up prize (awarded to each of the 10 runners-up):  Flip Video™ cameras.   Approximate Retail Value (ARV) of each Runners-Up prize:  $150.  No substitution, transfer of any prize (or any part of any prize) or cash alternative will be permitted, except as determined by Sponsor in its sole discretion if due to prize unavailability at time of award, in which case a prize of equal or greater value will be awarded.  All federal, state and local taxes related to the Grand Prize, Viewers’ Choice Awards, (and Runners Up Awards are the sole responsibility of the respective Winners. 

4.         COPYRIGHTS/TERMS OF SUBMISSION:

A.         TERMS OF SUBMISSION:

i.          Ownership and License.  Each Submission, including, without limitation, all contents, concepts and ideas embodied therein, including, but not limited to, the video or digital recording and performances contained in any of the above items (in each case, as submitted or as edited/modified in any way by Sponsor, in its sole discretion), becomes the exclusive property of Sponsor, and will not be acknowledged or returned by Sponsor.  Each Entrant hereby irrevocably assigns to Sponsor, its successors and assigns, all right, title and interest in and to such Submissions, including, without limitation, all intellectual property and other proprietary rights therein, without expectation of compensation or acknowledgement (other than competing for and, if applicable, receiving a prize, if any, that is awarded to an Entrant as set forth in these Rules).  Each Entrant agrees that Sponsor and its successors, assigns, licensees and designees shall have the perpetual, irrevocable, world-wide and fully-transferable right (but not obligation) to use, modify, display, reproduce, make derivative works of, and otherwise exploit Entrant's Submission (or any part thereof) for promotional or other purposes, in any manner or media whether now or hereafter existing and/or to otherwise use or commercially exploit in any manner any Submission (or any part thereof) or information or ideas contained within any Submission, all without payment, consideration, attribution, notice or consent.  Such rights granted herein include without limitation the right of Sponsor or its designees to reproduce, encode, store, copy, transmit, publish, post, broadcast, display, publicly perform, adapt, exhibit and/or otherwise re-use any Submission, in whole or in part, on the Contest Website, any other Wells Fargo website or third party website, and in all media or forms of delivery in which television or video programming may be broadcast or re-broadcast.  Participation in the Contest and entry of any Submission thereto constitutes Entrant's consent to Sponsor's (and its successors', assigns', licensees' and designees') use of Entrant's name, biography, likeness, voice, photographs, video, opinions, hometown, state and country for promotional or other purposes in any manner or media (including, without limitation, online), worldwide, in perpetuity, and without further payment, consideration, notice or consent.

ii.         By entering the Contest and uploading a video Submission, each Entrant:

    1. warrants and represents that the Entrant owns all rights to the Submission, including, without limitation, the video or digital recording, and the performance contained in each Submission; 
    2. warrants and represents that the Entrant is the individual pictured and heard in the Submission, or, alternatively, that the Entrant has obtained permission from each person who appears in the Submission to grant the rights described in these Rules, and can make written copies of such permissions available to Memelabs and/or Sponsor upon request; 
    3. warrants and represents that his/her Submission(s): (a) are original to the Entrant and have been legally obtained and created, and (b) do not infringe the intellectual property, privacy or publicity rights or any other legal or moral rights of any third party, or violate applicable laws, regulations, or terms of use;
    4. warrants and represents that if Entrant’s video is selected as the grand prize winner, such Entrant shall provide to Sponsor a written, signed authorization using the form provided on the Contest Website from each person appearing in the video, allowing Sponsor to use such individual’s appearance, image and likeness without compensating or notifying such individual, or providing any credit to such individual, as well as releasing Sponsor from any and all liability with regard to inclusion of such individual in the video, in its original or edited form, in any means, manner or format in which such video may be broadcast, transmitted, distributed, or otherwise made available by Sponsor or third parties; 
    5. forever waives any rights of privacy, intellectual property rights, and any other legal or moral rights that may preclude Wells Fargo’s use of the Submission or Additional Materials, or any part thereof, or require the Entrant's permission to use them for any purpose, and agrees to never sue or assert any claim against Wells Fargo’s use of those Materials;
    6. agrees to indemnify and hold Wells Fargo and its affiliates, officers, directors, agents, co-branders or other partners, and any of their employees (collectively, the "Promotion Indemnitees"), harmless from any and all claims, damages, expenses, costs (including reasonable attorneys' fees) and liabilities (including settlements), brought or asserted by any third party against any of the Promotion Indemnitees due to or arising out of the Entrant's Submission or Entrant’s participation in this Contest, or the Entrant's conduct during and in connection with this Contest, including but not limited to trademark, copyright, or other intellectual property rights, right of publicity, right of privacy or defamation;
    7. agrees to release, indemnify and hold harmless Wells Fargo and the Promotion Indemnitees from any and all claims that any commercial, advertising, presentation, web content or any other material subsequently produced, presented, and/or prepared by or on behalf of Wells Fargo the Promotion Indemnitees infringes on the rights of Entrant’s work as contained in any Submission or Additional Materials; and
    8. grants to Sponsor and any third parties authorized by Sponsor the perpetual, irrevocable, royalty free right to, and agrees and acknowledges that Sponsor or third parties on behalf of Sponsor may edit the Submission in any manner, including without limitation for length, content, or other elements of such Submission, and as necessary for online or television distribution in a format suitable for a 30 second nationally televised commercial advertisement. 

B.   SUBMISSION FORMAT AND CONTENT REQUIREMENTS.

i. Submission Limit. You may enter up to five (5) Submissions as long as the same (or substantially similar) Submission is not uploaded more than once. IMPORTANT: Be sure to save your Submission in the original format after uploading it to the Contest Website. If you are the Grand Prize winner, you will need to provide your Submission in its original format in order for the Submission to be aired on TV.

ii.   Additional content Requirements

5.   GENERAL CONDITIONS: All Entrants must have a valid Memelabs account.  Further, by participating, Entrants agree that Submissions, and the personal information collected from Entrants, will be shared with Sponsor, subject to the Memelabs Privacy Policy.  Further, Sponsor reserves the right, in its sole discretion, to disqualify any individual which Sponsor has reason to believe is or has been (a) tampering or attempting to tamper with the Contest entry submission process, the  Contest Website or the operation thereof; (b) violating these Rules or the Memelabs website terms of service or (c) acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. All activity arising out of and relating to the Contest is subject to verification and/or auditing for compliance with the Rules, the Terms of Use and Privacy Policy.  Entrants agree to reasonably cooperate with Sponsor and Memelabs concerning verification and/or auditing. All references to an Entrant’s status as a “winner” are subject to Sponsor’s verification and/or auditing, including all prescribed terms, conditions and documentation, as specified in these Rules.   

6.   LIMITATIONS OF LIABILITY AND RELEASE: No liability or responsibility is assumed by Sponsor or the Promotion Indemnitees resulting from any user's participation in or attempt to participate or ability or inability to upload or download any information in connection with participation in the Contest. No responsibility or liability is assumed by the Sponsor or Promotion Indemnitees for technical problems or technical malfunction arising in connection with any of the following occurrences: hardware or software errors; faulty computer, telephone, cable, satellite, network, electronic, wireless or Internet connectivity or other online communication problems; errors or limitations of any Internet service providers, servers, hosts or providers; garbled, jumbled or faulty data transmissions; failure of any e-mail transmissions to be sent or received; lost, late, delayed or intercepted e-mail transmissions; inaccessibility of the Contest Website in whole or in part for any reason; traffic congestion on the Internet or the Contest Website; unauthorized human or non-human intervention of the operation of the Submissions, including without limitation, unauthorized tampering, hacking, theft, virus, bugs, worms; or destruction of any aspect of the web site, or loss, miscount, misdirection, inaccessibility or unavailability of an email account used in connection with the Submission. Sponsor and the Promotion Indemnitees are not responsible for any typographical errors in these Rules, or any inaccurate or incorrect data contained on the Contest Website. Use of the Contest Website is at the user’s own risk. Sponsor and the Promotion Indemnitees are not responsible for any personal injury or property damage or losses of any kind which may be sustained to user's or any other person's computer equipment resulting from participation, use of the Contest Website or the download of any information from the Contest Website. By participating, the Entrant releases Sponsor and Promotion Indemnitees from any and all claims, damages or liabilities arising from or relating to such Entrant’s participation in the Contest.

7.         Notice.  Potential Grand Prize winner will be notified on or about December 10, 2007, and potential winners of the other prize categories will be notified on or about January 1, 2008, by mail, email or telephone, at Sponsor’s discretion, at the contact information provided on the registration form. Potential winners will be required to complete, sign and return an affidavit of eligibility and liability release and a publicity and submission release and license (collectively, the “Affidavit/Release”), within fourteen (14) days of the date of winning status notification. If a potential winner cannot be contacted within three (3) days of the first attempt to contact him/her, or if the potential winner fails to return the Affidavit/Release within the specified time, or if the potential winner is found to be ineligible or not in compliance with these Rules, then the potential winner may be disqualified and an alternate Grand Prize winner may be selected by Sponsor from among all eligible non-winning entries in accordance with the Judging Criteria.

9.         Additional Team Member Conditions. 

A.   Good Standing.  Team Members must adhere to the Basic Rules and Standards set forth and be in “good standing” as defined on the Wells Fargo Incentive Compensation website at https://ssd.wellsfargo.com/ic at the time of payout to receive any prize awarded in the Contest. 

B.   No Guarantee of Employment.  Participation in this Contest does not constitute a guarantee or contract of employment with Wells Fargo.  Such participation shall in no way interfere with any rights of Wells Fargo to determine the duration of a Participant’s employment or the terms and conditions of such employment.  The Contest does not change, alter, or modify the Participant’s at-will employment status.  Both the Participant and the Company have the right to terminate Participant’s employment at any time with or without notice and with or without cause.  No person will acquire any right to an accounting or to examine the books or the affairs of the Company.  Awards will be determined in the described manner provided the team member has satisfied the “terms and conditions” of the Contest.

C.   Integrity.  Violation of these Rules, or of the terms or spirit of the Contest, Wells Fargo’s Code of Ethics and Business Conduct, or other policies, procedures and rules of Wells Fargo are grounds for corrective action, which may include disqualification from further participation and / or immediate termination of employment. Team Members are expected to adhere to ethical and honest sales practices.  Any Team Member found to have engaged in gaming will be disqualified from participating in the Contest, and will be subject to immediate termination of employment.

10.        DISPUTES.  Entrant agrees that: (a) any and all disputes, claims, and causes of action arising out of or connected with this Contest, or any prizes awarded shall be resolved individually, without resort to any form of class action, and solely and exclusively in a federal or state court located in Minneapolis, Minnesota; entrant submits to sole and exclusive personal jurisdiction to said courts in the State of Minnesota for any such dispute and irrevocably waives any and all rights to object to such jurisdiction; (b) any and all claims, judgments, and awards shall be limited to actual out of pocket costs incurred, including costs associated with entering this Contest but in no event attorneys’ fees; and (c) under no circumstances will entrant be permitted to obtain awards for and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.  SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU.  All issues and questions concerning the construction, validity, interpretation and enforceability of these Rules, or the rights and obligations of entrant or Sponsor in connection with the Contest shall be governed by, and construed in accordance with, the laws of the State of Minnesota, without giving effect to any choice of law or conflict of law rules of provisions (whether of the State of Minnesota, the United States, or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Minnesota.

11. SPONSOR AND ADMINISTRATOR.
