From Oct. 21 to Jan. 5, 2012,  Eat St. is encouraging vendors across Canada and the United States to submit a short video of their food cart for the chance to be filmed for an Eat St. segment, just like you would see on the show! The video may appear on TV and/or on the Eat St. website and will be given to the winner to use and distribute as they please. Eat St. fans will vote from Jan. 5 to Jan. 31, 2012 for the vendor they would most like to see on the television show. The five videos with the highest number of votes will win the Fan Favourite award and will be eligible to win the grand prize – an Eat St. segment starring their cart!!!


Vendors:
It's important to note that you will be judged on the content in your video - your story, your food, your cart, but not the quality of the video itself. Shoot the video with any device you can and don't worry about how professional it looks. Videos can be 5 - 90 seconds in length. Short and sweet is better than long and drawn-out!
By entering the contest, you will also be entering your business information into the Eat St. App, giving you visibility to nearly 300,000 hungry Eat St. App users.

Vote for the coolest vendor that you'd like to see featured on Eat St.! You can vote once per day, so if you can't decide, just vote for a different cart tomorrow. If you're a die-hard fan of a certain cart, feel free to vote for them every single day the contest is running.

The “Eat St. Vendors Video Contest” (the “Contest”), is sponsored by Eat St. Digital Inc., with its principal place of business at 2043 Quebec Street, 2nd Floor, Vancouver, BC, Canada, V5T 2Z6 (“Sponsor”). The Contest is hosted and organized by Memelabs.com, with its principal place of business at 37 Dunlevy Avenue, Vancouver, BC, Canada, V6A 3A3 (“Organizer”).  The Contest is void where prohibited. By entering the Contest, a person becomes an “Entrant” and, in consideration of Sponsor and Organizer agreeing to permit the Entrant’s participation in the Contest, the Entrant accepts and agrees to be fully bound by these Official Rules.


Except for Organizer and Sponsor, no use of any trade-mark, trade name, logo or brand name implies sponsorship by, or any association with, any other organizations or entities, including (but not limited to) Facebook, Inc.  All trade-marks and copyrights are property of their respective owners.

How to Enter
No purchase is necessary to enter or win the Contest. The Contest begins on October 21, 2011, at 1:00:00 p.m. Pacific time and ends on January 31, 2012 at 01:00:00 pm Pacific Time (the “Entry Period”), after which the judging will take place as set out in these Official Rules.  Entrants may enter this Contest by visiting http://memelabs.com/eatst/ (the “Site”). Entrants will be required to create an account in order to enter and vote on submissions.  In order to upload a submission, an Entrant will need to create a Contest- related account, providing full contact information and agreeing to all of these Official Rules. Entrants may log in to upload their video after completing an brief entry form (providing contact information including their full name, full name, business name, business address, email, hours of operation, cuisine type and phone number). Entry is limited to 1 (one) video per person/vendor.  A video entry from an Entrant that meets the criteria of these Official Rules is an “Entry”.

Eligibility: The “Eat St. Vendor Video Contest” (the “Contest”) is open only to legal residents of Canada (Excluding residents of Quebec) and the 50 United States (a) are of legal age of majority in your jurisdiction of residence (at least 18 years of age or older), (b) have an active email account and Internet access as of the beginning of the Contest Period.  Entrants may be required to register with
www.memelabs.com in order to enter and/or vote in the Contest.  Registration is free and available at www.memelabs.com.  Void elsewhere and where prohibited by law. Employees of Eat St. Digital, Invoke, Paperny Films or Food Network Canada (“Sponsor”), Memelabs.com (“Administrator”), and their respective parents, affiliates, subsidiaries, and advertising and promotion agencies, and members of their immediate family (spouse, parents, children, siblings and their respective spouses, regardless of where they reside), and/or those persons living in the same households of each, whether or not related, are not eligible to enter, play or win the Contest.  Other eligibility requirements and conditions of participation are set forth below in these official rules for the Contest (“Official Rules”).

Contest Period:
- Contest start date of October 21, 2011 and a contest end date of  January 31, 2012. 
- Finalist selection by Eat St. Digital on February 10, 2012 (based on criteria clearly outlined in the Official Rules)

- Video submission period from October 21, 2011 through January 5, 2012.
- Consumer voting period from January 5, 2012 through January 31, 2012.
- Winner announced on February 10, 2012.

Prizes  
There is one (1) Grand Prize to be awarded in the Contest, with no approximate retail value, as the prize cannot be purchased outside the contest.

There are five (5) Fan Favourite Prizes to be awarded in the Contest, with no approximate retail value, as the prize could not be purchased outside the contest.

Odds of winning the Contest will depend on the number of Entries received. The Grand Prize will be awarded at by the Organizer and Sponsor, based on their discretion. The Grand Prize will be announced on or about the week of February 10, 2012, but there is no guarantee on the date the grand prize filming will occur. Actual retail value may vary. Winning Entrants will not receive the difference between actual and approximate retail value as non exists. There will be no substitutions (whether cash or otherwise) for prizes, subject to the following provisions. Prizes awarded are non-transferable and may not be exchanged or redeemed for cash, sold, or traded.  Sponsor and Organizer reserve the right to substitute a prize, in which case a prize of equal or greater value will be awarded. Failure to accept a prize within thirty (30) days of notification of award constitutes forfeiture of the prize. If forfeited, the prize will remain the property of Sponsor, and another winner will not be selected.  See “Conditions and Restrictions” below.

Entries and Creation Requirements
Entries will consist of a submitting short (less than 90 second) video and a series of questions about the entrant’s business.  Entries must be entered through the memelabs site or the player and the shopping list must be completed before the video submission is received.  No still photo entries (or slide shows) will be accepted.  All Entries must be received by 1:00:00 p.m. PST on January 5, 2012. There is no cost or purchase required to enter the Contest or submit an Entry, but Entrants are responsible for any and all costs related to entering the Contest, including but not limited to internet service providers and other communication intermediaries incurred by the Entrant in uploading the Entry, plus the cost of any equipment, media stock or connections necessary to make the Entry.

  • Entries must be in keeping with Sponsor’s desired image, and must (to the extent of any such portrayal) portray Sponsor and Organizer in a positive light.
  • Videos may not contain obscene language or content, including but not limited to: nudity, profanity, or graphic violence.  (Also, see “Conditions and Restrictions” below.)
  • Entries must be no more than 90 seconds in length or 70mb in file size
  • Entries must be in mp4, flv, mov, avi or wmv format
  • Videos must be submitted via the web to the site or player as instructed after registration. If an Entrant has problems uploading, please contact us at support@memelabs.com. If an Entrant is having problems uploading, that Entrant must contact Organizer before the end of the Entry Period, and neither Sponsor nor Organizer is responsible for resolving any technical difficulties in time for the end of the Entry Period.


Viewing of Entries
All eligible Entries will be posted online at the Site for public viewing.  The public may begin interacting with the Entries during the Entry Period by voting, sharing, and reviewing the Entries that are their favourite. Individuals may “vote” for a submission once every day. Entrants may “vote” their own Entries during the entire Entry Period.

Winning Criteria
In order to qualify to win any prize, in addition to all of these Official Rules, the Entry must (a) be submitted to the Contest in accordance with these Official Rules, (b) be a registered user on the contest site.



Voting
Users with a memelabs account can vote daily on their favorite Entry at http://www.memelabs.com/eatst starting on January 5, 2012 at 1:00:00 pm PST and ending on January 31, 2012 at 1:00:00 pm PST (the "Voting Period").  A "Daily Voting Period" is defined as the 24 hours between 12:00:00 a.m. (midnight) EST and 11:59:59 p.m. EST. Sponsor's computer is the official time keeping device for the Contest.

The first time voters visit the site, they will be required to create a memelabs account allowing Sponsor and Organizer to access basic information including email address, IP. By submitting a vote, the visitor agrees to the Official Rules. Voters may not vote with multiple email accounts. Votes must be submitted and received to the application during the Voting Period. Limit one (1) Vote per person per Day.

The 5 Entries with the most votes will become the Fan Favourite Contest winner ("Fan Favourite Winner").  The Grand Prize will be selected and awarded by delegates of the Organizer and Sponsor as determined in their own discretion. . Any use of robotic, macro, automatic, programmed or like voting methods will void all such votes. Any attempt by any Entrant (or any of his or her family, friends or other associates) to directly or indirectly vote more than the number of times authorized herein using multiple names, email addresses, phone numbers and/or any other fabricated or fraudulent mechanism, as determined by Sponsor and/or Organizer in its sole discretion, shall give Sponsor the right to disqualify the Entrant in its reasonable discretion.


Conditions and Restrictions Apply
Each entrant’s and voter’s participation in the Contest, including an Entrant’s submission of a video to http://www.memelabs.com/eatst or a voter’s vote for an Entry, shall be deemed to be such person’s complete acceptance of the terms and conditions set out in these Official Rules.  In addition to the above:

1.     By submitting an Entry, each Entrant agrees to and thereby waives any and all moral rights that exist in such Entry and any derivative works made there from.

2.     By submitting an Entry, each Entrant represents, warrants and undertakes to Sponsor and Organizer that the Entry (i) is his or her own original work and that you have the sole right to submit it to the Site; (ii) does not violate in any way rights of third parties including copyright and other intellectual property rights; and (iii) does not violate any applicable laws.

3.     No Entry may include any content whatsoever which would reasonably be understood to be defamatory, threatening, distasteful, racist, unlawful or otherwise objectionable.

4.     Sponsor and Organizer reserve the right to change these terms and conditions at any time and at their sole discretion, and the latest version of the Official Rules will always be available at http://www.memelabs.com/eatst

5.     Entrants agree to grant to Sponsor and Organizer an everlasting, royalty-free, assignable, sole license to use, utilize, replicate, alter, adapt, modify, publish, broadcast, translate, produce derivative works from, distribute, present, play, sublicense and exercise all copyright and other intellectual property rights with respect to the Entry worldwide in perpetuity and to include such Entry or derivative works thereof in other works in any media now known or later created. Each Entrant agrees that the foregoing grants Sponsor and Organizer permission to make available and display/perform and otherwise distribute Entrant's name and Entry in all media in perpetuity without compensation. Except where legally prohibited, submission of an Entry into the Contest constitutes permission for Sponsor and Organizer to use the Entrant's name, photograph, likeness, voice, address (city and province/state) and testimonials, in printed, broadcast or new media, in perpetuity, in any manner they deem appropriate in connection with promoting the Entry, the Contest, Sponsor or Organizer, without further compensation or the prize awarded.

6.     Each Entrant is responsible to secure permission from all talent included in the Entry. Sponsor and Organizer assume no responsibility for royalties or fees, if any, associated with talent performances in the Entries.

7.     Neither Sponsor nor Organizer assume responsibility for lost or late Entries or for incomplete computer transmissions or technical failures.

8.     Each of Sponsor and Organizer reserve the right not to accept Entries that are considered inappropriate for the Site in their sole discretion.

9.     Winning Entrants are subject to verification by Sponsor and Organizer, whose decisions are final and binding in all matters related to the Contest.  An Entrant is not a winner of any prize unless until Entrant’s eligibility has been verified and Entrant has been notified that verification is complete.

10.   Winners will be solely responsible for any and all local, state, and federal taxes.  Sponsor and Organizer will report any individual winnings over $600 (in cash or fair market value of goods or services) in a one-year period to the Internal Revenue Service.  Winners will receive a Form 1099 from Sponsor or Organizer if Sponsor or Organizer reports any winnings to the Internal Revenue Service.



Limitation on Liability, Releases and Indemnities

1.     If any participant (voter, Entrant or otherwise) breaches any of representations, warranties, covenants or undertakings contained herein, each of Sponsor and Organizer, or both, shall be entitled to and may seek indemnification from such participant for recovery of all legal fees, damages, claims and other expenses that may be incurred by Sponsor, Organizer  or their respective affiliated entities as a result of such breach.

2.     Each Entrant agrees to indemnify Sponsor and Organizer from any third party claims arising from or related to that Entrant's participation in the Contest. By participating, entrants agree that Sponsor, Organizer involved in the development, production, implementation and distribution of this Contest and their respective parent companies, affiliates, subsidiaries, service providers, and agencies, and their directors, officers, agents, employees, attorneys, and any other person or entity associated with such entities and/or this Contest (collectively, the “Released Parties”) shall not be liable for any and all claims, damages, losses or injuries, of any kind whatsoever and howsoever arising (including any third party claims, death and bodily injury, property damage and claims for any direct, punitive, special, indirect, incidental or consequential damages and all attorneys’ fees relating to the foregoing) (collectively, “Claims”), arising from or relating to, in whole or in part, this the Contest or these Official Rules, including entry and participation in the Contest and acceptance, possession, use or misuse of the prizes. Each Entrant further agrees that in the event of any third party Claims arising from or relating to this the Contest, such Entrant will indemnify the Released Parties from any and all such Claims. None of the Released Parties shall be responsible for any technical malfunctions of the telephone network, computer online system, computer equipment, software, program malfunctions or other failures, delayed computer transactions or network connections that are human, mechanical or technical in nature, or any combination thereof, including any injury.

3.     Entrants are liable for any copyright infringements caused by their Entries, an indemnity for which is included in the above paragraph.  Each of Sponsor and Organizer reserve the right to request evidence of permission or original work as a condition to permitting any Entry to be entered into or remain in the Contest; however, nothing in the foregoing shall impart on either of them the responsibility to do so.

Memelabs, Inc. ("Memelabs," "we" or "us") provides this Privacy Policy to inform you of our policies and procedures regarding the collection, use and disclosure of personal information we receive from users of
www.Memelabs.com and our media player which enables users to stream and broadcast content (collectively, the "Services"). This Privacy Policy applies only to information that you provide to us through the Services. This Privacy Policy may be updated from time to time. We will notify you of any material changes by posting the new Privacy Policy on the Site.

You are advised to consult this policy regularly for any changes. Unless otherwise defined in this Privacy Policy, terms used in this Privacy Policy have the same meanings as in our Memelabs Terms of Service.

Information Collection and Use
Our primary goals in collecting information are to provide and improve our Services, features and content, to administer your membership and to enable users to enjoy and easily navigate the Site. We also may also use your information in order to better understand how our Services are used.

Personally Identifiable Information
In the course of using the Services, we ask you to provide us with certain personally identifiable information that can be used to contact or identify you and administer your account ("Personal Information"). Personal Information may include, but is not limited to, your name, phone number, credit card or other billing information, email address and home and business postal addresses. We use your Personal Information mainly to provide the Services and administer your inquiries.

* Please be aware that when you register to become a Memelabs Member, other users of the Services may be able to see your screen or user name, in addition to any comments or submissions that you post to the Site or submit via the Services. We recommend that you guard your anonymity and sensitive information and that you not use your real name as your screen or user name to the extent that it allows others to identify you.

* We also collect the other information that you provide as part of your use of the Services, including via your registration and the administration and personalization of your profile webpage (e.g., without limitation zip code and individual preferences) ("Non-Identifying Information"). Certain Non-Identifying Information would be considered a part of your Personal Information if it were combined with other identifiers (for example, combining your zip code with your street address) in a way that enables you to be identified. But the same pieces of information are considered Non-Identifying Information when they are taken alone or combined only with other non-identifying information (for example, your viewing preferences). We may combine your Personal Information with Non-Identifying Information and aggregate it with information collected from other Memelabs Users to attempt to provide you with a better experience, to improve the quality and value of the Services and to analyze and understand how our Services are used.

* We also use your Personal Information to contact you with Memelabs newsletters, marketing or promotional materials and other information that may be of interest to you. Memelabs Members who agree to the terms and conditions of the Memelabs Terms of Service Agreement are given the opportunity to opt into receiving such communications from us in the future. If you decide at any time that you no longer wish to receive such communications from us, please follow the unsubscribe instructions provided in any of the communications or update your "user preferences" information. (See "Changing or Deleting Information," below.)

Log Data
As you use the Services, whether as a Memelabs Member or a non-registered user just browsing (any of these, a "Memelabs User"), our servers automatically record information that your browser sends whenever you visit a website ("Log Data"). This log data may include information such as your computer's IP address, browser type or the domain from which you are visiting. We use this information to monitor and analyze use of the Services and for the Site's technical administration. We do not treat Log Data as Personal Information or use it in association with other Personal Information, though we may aggregate, analyze and evaluate such information for the same purposes as stated above regarding other Non-Identifying Information.

Cookies
Like many websites, we use "cookies" to collect information. A cookie is a small data file that we transfer to your computer's hard disk for recordkeeping purposes. We use cookies for two purposes. First, we utilize persistent cookies to save your registration ID and login password for future logins to the Site. Second, we utilize session ID cookies to enable certain features of the Services, to better understand how you interact with the Services and to monitor aggregate usage by Memelabs Users and web traffic routing on the Services. Unlike persistent cookies, session cookies are deleted from your computer when you close your browser. Third party advertisers on the Services may also place or read cookies on your browser. You can instruct your browser, by editing its options, to stop accepting cookies or to prompt you before accepting a cookie from the websites you visit. If you do not accept cookies, however, you may not be able to use all portions of the Site or all functionality of the Services.

Emailing Via a Memelabs Account
As part of the Services, Memelabs Members are able to communicate with Memelabs Members and non-members through use of their accounts. Where Memelabs Members have selected the option of adding one or more email addresses to an online form, the message they create in the corresponding template can be sent from Memelabs to those email addresses on their behalf. These email addresses will be stored in the address book the Memelabs Member creates and will only be used for the purpose of sending the email communication to the addressee.

Information Sharing and Disclosure
Memelabs Members. When you register through the Site and submit your Personal Information to create a profile webpage, Memelabs Users will see your "Screen Name" and the month and year you first registered with Memelabs ("Required Member Identifiers"). You can choose what other Personal Information you provide as part of your profile ("Other Member Information") and in some cases you can choose whether to share that information publicly on the Site by making selections via the "user preferences" section of your profile webpage. Providing Other Member Information is voluntary and should correlate with the degree of interaction you want to have with Memelabs Users. We recommend that you guard your anonymity and sensitive information.

Aggregate Information and Non-Identifying Information
We may share aggregated information which does not include Personal Information and we may otherwise disclose Non-Identifying Information and Log Data with third parties for industry analysis, demographic profiling and other purposes. Any such aggregated information will not contain your Personal Information.

Service Providers
We may employ third party companies and individuals to facilitate our Services, to provide the Services on our behalf, to perform Site-related services (e.g., without limitation, maintenance services, database management, web analytics and improvement of the Site's features), or to assist us in analyzing how our Services are used. These third parties have access to your Personal Information only to perform these tasks on our behalf and are obligated not to disclose or use it for any other purpose.

Compliance with Laws and Law Enforcement
Memelabs cooperates with government and law enforcement officials or private parties to enforce and comply with the law. We will disclose any information about you to government or law enforcement officials or private parties as we, in our sole discretion, believe necessary or appropriate to respond to claims and legal process (including but not limited to subpoenas), to protect the property and rights of Memelabs or a third party, to protect the safety of the public or any person, or to prevent or stop any illegal, unethical or legally actionable activity.

Business Transfers
Memelabs may sell, transfer or otherwise share some or all of its assets, including your Personal Information, in connection with a merger, acquisition, reorganization or sale of assets or in the event of bankruptcy. If Memelabs becomes involved in a merger, acquisition, reorganization or any form of sale of some or all of its assets, we will provide notice to you before your Personal Information is transferred and becomes subject to a different privacy policy.

Changing or Deleting Your Information
All Memelabs Members may review, update, correct or delete the Personal Information in their registration profile by contacting us. If you completely delete all such information, then your account may become deactivated. If you would like us to delete your record in our system, please contact us and we will attempt to accommodate your request. See below for privacy contact information.

Security
Memelabs is very concerned with safeguarding your information. We employ administrative, physical and electronic measures designed to protect your information from unauthorized access. We will make any legally required disclosures of any breach of the security, confidentiality or integrity of your unencrypted electronically stored Personal Data (as defined in applicable state statutes on security breach notification) to you via email or conspicuous posting on this Site in the most expedient time possible and without unreasonable delay, insofar as consistent with (i) the legitimate needs of law enforcement or (ii) any measures necessary to determine the scope of the breach and restore the reasonable integrity of the data system.

International Transfer
Your information may be transferred to - and maintained on - computers located outside of your state, province, country or other governmental jurisdiction where the privacy laws may not be as protective as those in your jurisdiction. If you are located outside the United States and choose to provide information to us, Memelabs transfers Personal Information to the United States and processes it there. Your submission of such information represents your agreement to that transfer.

The Services contain links to other websites. If you choose to visit an advertiser by clicking on a banner ad or other type of advertisement, or click on another third-party link, you will be directed to that third party's website. The fact that we link to a website or present a banner ad or other type of advertisement is not an endorsement, authorization or representation of our affiliation with that third party, nor is it an endorsement of their privacy or information security policies or practices. We do not exercise control over third party websites. These other websites may place their own cookies or other files on your computer, collect data or solicit personal information from you. Our Policy Toward Children
Memelabs does not knowingly collect personally identifiable information from children under 13. If a parent or guardian becomes aware that his or her child has provided us with Personal Information without their consent, he or she should contact us at Privacy@Memelabs. If we become aware that a child under 13 has provided us with Personal Information, we will delete such information from our files.
