THE FOLLOWING CONTEST IS INTENDED FOR LEGAL RESIDENTS OF THE UNITED STATES WHO RESIDE IN THE STATES OF ALABAMA, MISSISSIPPI AND TENNESSEE ONLY AND SHALL ONLY BE CONSTRUED AND EVALUATED ACCORDING TO UNITED STATES LAW. DO NOT PROCEED WITH THIS CONTEST IF YOU ARE NOT A LEGAL RESIDENT OF THE STATE OF ALABAMA, MISSISSIPPI OR TENNESSEE.
Cellular South, Inc. (hereinafter referred to as Cellular South) will conduct the “Real Customers. True Stories: Switch and Tell” Contest from February 23rd, 2009 – April 26th, 2009 (the “Contest”). The Contest entries will be hosted by memelabs.com and prizes will be awarded on the following basis:
Overall Prize: Three (3) Overall Prizes of a total cash value of $4000 (1st place = $2500, 2nd place = $1000, 3rd place = $500), plus one (1) prize of free service for a year, (1) prize of free service for three months, (1) prize of free service for one month and three (3) choices of device (total value, approximately $6800). The Overall Prize will be awarded on or about the week of May 4th, 2009.
Viewers Choice Prize ($500) will be selected by tallying the votes submitted by users on the Contest Website. Votes will be secure and all steps will be taken to prevent cheating. The Viewer’s Choice Prize will be awarded on or about the week of May 4th, 2009.
Exclusive Online Panel Prize ($500) will be awarded by a panel of qualified judges, based on criteria specified above. The Online Panel Prize will be awarded on or about the week of May 4th, 2009.

Everyone has a chance to appear in a Cellular South television commercial. Visit cellularsouth.com/networks to see previous contestant’s commercials!
Entries will consist of content submitted by the entrant who relates to the creative assignment and other criteria set forth herein. Content submitted by entrants has the chance of being included in a Cellular South television commercial.
There will be no substitution for prizes. Prizes awarded are non-transferable. Failure to collect the prize constitutes forfeiture of the prize. If forfeited, the prize will remain the property of Cellular South. Another winner will not be selected.
SELECTION OF WINNERS:
Viewer’s Choice prize will be awarded based on total viewer voting during the contest on the entries/content submissions to the Cellular South “Real Customers. True Stories: Switch and Tell” section located at memelabs.com. The content submission with the highest number of votes during the contest will win the Viewer’s Choice prize. All content submissions must adhere to the content submission requirements set forth herein in order to be included in the Contest.
The Overall Prizes will be awarded by a judging process in which a panel of judges will evaluate each eligible content submission based on the following criteria.
Judging Criteria:
CREATIVE ASSIGNMENT: Entrants should think of ideas to illustrate why you switched or why someone else should switch to Cellular South. Entrants should think of creative ways to illustrate why Cellular South is the best wireless carrier available. Show this through short stories, dance, song, testimonials, commercial, or whatever creative ideas you can come up with. Entrants should compare the wireless service they receive with Cellular South to the service entrant’s friends or family receives with their competing wireless providers. Entrants should endeavor to be as creative as possible in illustrating their switched story.
The Overall Prizes will be awarded based on how the content submission stacks up against the following Judging Criteria:
(#1) Originality and Creativity – 40%
(#2) Adherence to Creative Assignment – 30%
(#3) Overall Appeal – 30%
NO PURCHASE NECESSARY. Contest is open to legal residents of the United States who are 19 years of age or older and who reside in the State of Alabama, and who are 18 years of age or older and who reside in the States of Mississippi and Tennessee, as of the date of entry. Minors are ineligible to participate in the Contest. Viewer’s Choice, Online Panel and Overall Prize winners must possess a valid Alabama, Mississippi or Tennessee driver’s license. Offer void where prohibited by law. The period for participation in the Contest is from 8:00 AM CT, Feb 23rd, 2009 through 11:59 PM CT, April 26th, 2009. For purposes of these Official Rules all times is Central Time (CT).
ELIGIBILITY Employees, agents, resellers, distributors, officers or directors of Cellular South, memelabs.com and their respective parent companies, affiliates, subsidiaries, advertising / promotional agencies, and the members of their immediate families or those persons living in the same household of such individuals are ineligible to enter the Contest or win a prize. The term “immediate families” includes spouses, grandparents, parents, siblings, children, and grandchildren. All federal, state and local laws and regulations apply. Void where prohibited by law. Difficulties with online access to enter the Contest are not the responsibility of Cellular South or memelabs.com
HOW TO ENTER. To enter the Contest, register at cellularsouth.com/SwitchAndTell during the above-mentioned time period. LIMIT: One entry per person, per day.
CHANGE OF ADDRESS POLICY It is the sole responsibility of the entrant to notify Cellular South in writing if the entrant changes his / her address, email address, and / or telephone number. To do so, write to Cellular South, Attn: Marketing / Cellular South “Real Customers. True Stories: Switch and Tell” Contest. Contest, 1018 Highland Colony Parkway, Suite 340, Ridgeland, MS 39157.
By participating in the Contest entrants release Cellular South and its parent company, affiliates, subsidiaries, advertising / promotional agencies, and the employees, officers, directors and agents of any of the above organizations from any and all liability for any claims, injuries, losses, or damages of any kind caused by participation in the Contest or the acceptance, possession or use / misuse of a prize or participation in any prize-related activities. Where legal, by accepting a prize the winner grants Cellular South permission to use his / her name, address, likeness, photograph, Contest submission, and statements in advertising and for other promotional or publicity purposes without further compensation.
Cellular South reserves the right to make changes to these Official Rules without notice at any time.

This Contest is sponsored by Cellular South, 1018 Highland Colony Parkway, Suite 340, Ridgeland, MS 39157. The decision of Cellular South management in their interpretation of these Official Rules is final. By participating in the Contest each entrant agrees to be bound by the decisions of Cellular South’s management, the Contest judges, and these Official Rules.
Cellular South, their representatives, agencies and employees, are not responsible for any changes or difficulties in prize delivery. This Contest and all accompanying materials are copyright © 2009 by Cellular South.
Your participation in the Contest, including your submission of a video to Memelabs.com shall be deemed to be your complete acceptance of the terms and conditions set out below by Memelabs.com (hereinafter referred to as Organizer) and Cellular South, Inc. (hereinafter referred to as Sponsor).
CHILDREN AND MINORS: Consistent with the Federal Children's Online Privacy Protection Act of 1998 (COPPA), we will never knowingly request personally identifiable information from anyone under the age of 13 without requesting parental consent. Additional information can be found on the U.S. Federal Trade Commission website. Any entrant must obtain all necessary permissions from anyone else featured in his/her Submission, including permission from parents or legal guardians of minors included in such Submission (written proof of such permission must be made available to Sponsor upon request).
ELIGIBILITY: The Contest is open only to individual legal residents of the States of Mississippi, Alabama (must be 19 years of age or older), and Tennessee who have internet access, are 18 years of age or older at the time of entry. Void where prohibited or restricted by law. Employees, contingent staff persons, officers and directors, together with members of their immediate families (parents, children, siblings and spouses of each) and/or those living in the same households, of Invoke Media, Memelabs, and their respective parents, subsidiaries and affiliates are ineligible to participate in the Contest or win any Contest prize.
1. Videos must be between 15 seconds - 180 seconds.
2. All entries must be received by April 26th, 2009.
3. Videos can be shot with camera phones, digital video cameras or any other digital moving image format. No still photo entries will be accepted.
4. There is no cost or purchase required to enter this Contest.
5. Entry to the Contest is only open to persons of at least 18 years of age (age 19 required in Alabama).
6. Employees and relatives of employees of Sponsor and Organizer and any entities affiliated or related to Sponsor and Organizer are not eligible to enter the Contest. For this purpose, the term "relative" shall mean spouse, partner, parent, child or sibling.
7. By submitting your Submission to the Organizer in relation to the Contest you agree to and thereby waive any and all property rights of any kind including, but not limited to, intellectual property rights or moral rights that exist in your Submission to the Contest and any derivative works made there from.
8. By submitting your Submission to the Organizer in relation to the Contest you represent, warrant and undertake to Sponsor and Organizer that you’re Submission
(i) is your own original work and that you have the sole right to submit it to the Contest,
(ii) does not violate in any way the rights of any third parties including, but not limited to, copyright and other intellectual property rights, and
(iii) does not violate any applicable laws.
9. In the event that you breach any of your representations, warranties or undertakings contained herein, you agree to indemnify and hold harmless Sponsor and Organizer from and against any and all damages, costs, expenses (including reasonable attorneys’ fees), and claims of any kind or nature which are incurred by Sponsor or Organizer as a result of your breach.
10. Your Submission to the Contest should not include any content whatsoever which would reasonably be understood to be defamatory, threatening, distasteful, racist, unlawful or otherwise objectionable.
11. Sponsor and Organizer reserve the right to alter or modify your Submission to the Contest without notification or consent from you.
12. Sponsor and Organizer reserve the right to change these terms and conditions at any time and at their sole discretion.
13. Entrant agrees to grant to Sponsor and Organizer an everlasting, royalty-free, assignable, exclusive license to use, utilize, replicate, alter, adapt, modify, publish, broadcast, translate, produce derivative works from, distribute, present, play, sublicense and exercise all copyright and other intellectual property rights with respect to their Submission on a worldwide basis and/or to include their Submission in other works in any media now known or later created forever. Entrant agrees and grants Sponsor and Organizer permission to make available and display/perform and otherwise distribute entrant's name and video submission in all media in perpetuity without compensation. Except where legally prohibited, submission of an entry into this Contest constitutes permission for Sponsor and Organizer to use the entrant's name, photograph, likeness, voice, address (city and province/state) and testimonials, in printed, broadcast media or new media, in perpetuity, in any manner they deem appropriate in connection with promoting the video submission itself or this Contest, without further compensation in connection with this Contest or the prize awarded.
14. Each entrant agrees to indemnify and hold Sponsor harmless from any third party claims arising from or related to that entrant's participation in the Contest. By participating, entrants agree that Sponsor and Organizer’s involvement in the development, production, implementation and distribution of this Contest and their respective parent companies, affiliates, subsidiaries, service providers, and agencies, and their directors, officers, agents, employees, attorneys, and any other person or entity associated with such entities and/or promotion shall not be liable for any and all claims, damages, losses or injuries, including any third party claims, arising from or relating to, in whole or in part, this Contest, including entry and participation in this Contest and acceptance, possession, use or misuse of the prizes. All entrants further agree that in the event of any third party claims, damages, losses or injuries, arising from or relating to this Contest, they will indemnify and hold Organizer and Sponsor harmless from any and all such claims, damages, costs, and expenses (including the attorneys' fees) related thereto. Organizer and Sponsor shall not be responsible for any technical malfunctions of the telephone network, computer online system, computer equipment, software, program malfunctions or other failures, delayed computer transactions or network connections that are human, mechanical or technical in nature, or any combination thereof, including any injury.
15. Entrants participating in this Contest are liable for any copyright infringements caused by their videos.
16. Entrant is responsible for securing permission from all talent included in the entrant’s video. Sponsor and Organizer assume no responsibility for royalties or fees associated with the persons or talent performing in the entered videos.
17. Sponsor and Organizer assume no responsibility for lost or late entries or for incomplete computer transmissions or technical failures.
18. Sponsor and Organizer reserve the right not to accept entries that are considered inappropriate for the Contest.
Notification
• The winners will be contacted at the telephone, address, and/or e-mail address provided during registration.
• The winners and title of their entry will be announced on the Organizer’s website and may be announced on the Sponsor’s website.
• The winning videos will be featured on the Contest website.
• Prizes will be delivered shortly after the winners are chosen and announced.
Video Creation Requirements
• Acceptable sources for video content include sources for which the content is not copyrighted. Contestant takes responsibility that all images and soundtracks are not copyrighted material of a third party. This means, do NOT use commercial copyrighted music or images.
• Videos may not contain obscene language or content, including but not limited to: nudity, profanity, or graphic violence.
• Video must be between 15 seconds and 2 minutes in length.
• Video can be in any format. A 1-minute project should be under 6MB. Files larger than 30MB will not be accepted.
• Videos must be submitted via the web as instructed after registration for the Contest. If you have problems uploading, please contact us at info@memelabs.com. If you are having problems uploading, you must contact us before the Contest has ended.
